The primary service provided is procuring a US listing on either the OTC QX,
the Pink Sheets, or the Bulletin Board exchange. To that end, BCA will provide
the BD listing sponsor and continue to consult the issuer on all matters
throughout the listing process until approved. Counsel shall include matters
such as triage to proper exchange, listing qualifications, document and data
gathering, regulatory mandates, etc.
After getting listing approval from the FINRA and trading has begun, BCA will
continue to provide an umbrella of services and functions to satisfy the
objectives for all newly listed issuers — established an orderly after market,
regulatory compliance, and market outreach.

Peter Baxter | Managing Director
Beginning in 1986, he worked at Oppenheimer, Lehman Brothers and Dean Witter
Reynolds developing institutional sales teams with European banks. Mr. Baxter
initiated and oversaw all of Lehman’s institutional sales with European banks,
including clearing thousands of trades for hundreds of European bank clients.
In 1996 he turned to the corporate finance side as an investment banker, where
as Director of Corporate Finance of Atlanta based BD, The Malachi Group he
brokered or syndicated numerous PIPE offerings. In 2001 he formed Baxter Capital
Advisors Inc. to brand his capital markets advisory services.
He has since guided many US private companies public through organic listings
on the OTC exchanges and in 2004 began assisting Canadian issuers with their US
exchange listings which is today his exclusive domain. He was educated at Georgia
State University in Atlanta in Finance and Economics and is Series 7 and 63 licensed.
